This agreement is between Syniria LLC, a Wyoming limited liability company ("Syniria", "we", "us"), and the person or company named in your application ("you"). It starts on the day Syniria approves your application.
1. Joining
1.1 Joining is free. You never have to buy anything, pay a fee or recruit anyone to take part or to earn commission.
1.2 Syniria decides whether to approve an application, and does not have to give a reason.
1.3 The information you give Syniria must be true. You must tell Syniria within 30 days if any of the following changes: your country, your company, your US tax status (§9), or your payout details.
2. Your code and invite link
2.1 Once approved, you receive at least one promotion code and a personal invite link. A new customer who enters your code at checkout gets the discount shown there. Today that is 10% off their subscription for their first 3 monthly invoices.
2.2 Syniria may change the customer discount for future customers, or replace a code. It will tell you first. A change never affects customers who have already used your code.
2.3 You may share your code and invite link wherever and however you choose, subject only to §7.
3. Which customers are credited to you
3.1 A customer is credited to you when your code is used on that customer's first paid Syniria subscription invoice.
3.2 Each customer is credited to one affiliate only. That never changes afterwards: not if the customer later uses another code, changes plan, or cancels and returns.
3.3 These customers are never credited to anyone:
- a customer who paid Syniria before using your code;
- you yourself, or a business you own or control.
3.4 If a customer bought without entering your code, Syniria may credit them to you, at its discretion, if you show evidence dated before their purchase that you referred them.
4. Commission
4.1 For each customer credited to you, you earn 20% of the subscription plan amount the customer actually pays on each paid invoice. That is after any discount and before tax.
4.2 Commission covers every invoice paid before the first anniversary of the customer's first paid invoice. Nothing is earned on invoices paid after that date.
4.3 Only the subscription plan counts. Commission is not earned on:
- add-ons, credit top-ups or any other charges;
- tax;
- amounts that are refunded or disputed.
4.4 When a customer upgrades, commission is 20% of the net plan amount on the upgrade invoice: the new plan charge minus the credit for the unused old plan.
4.5 Commission is calculated in US dollars and rounded to the cent on each invoice. Syniria does not deduct its card-processing fees.
5. Recruiter bonus
5.1 If you recruited another affiliate, you earn a bonus equal to 10% of that affiliate's commission under §4. Syniria pays this on top; it does not reduce your recruit's commission.
5.2 One level only. You earn nothing from the affiliates your recruits recruit, and nothing from your recruits' own bonuses.
5.3 You may recruit any number of affiliates, but each affiliate has at most one recruiter:
- The recruiter is the one recorded when the affiliate applies, through the recruiter's invite link or by naming them on the application.
- The recruiter is fixed when Syniria approves that affiliate and never changes afterwards.
- A recruiter cannot be added to an affiliate later.
- You must be an approved, active affiliate at that time.
5.4 You cannot be your own recruiter, and you cannot be the recruiter of a company you own or control.
5.5 If your recruit's commission is reduced or cancelled, your bonus on it is reduced or cancelled in the same way. When you leave the program, your bonus stops, and it passes to nobody.
5.6 Nobody is paid for recruiting on its own. Bonuses come only from real customers' paid subscriptions.
6. Waiting period, refunds and fraud
6.1 Every commission and bonus waits 30 days after its invoice is paid. A refund or payment dispute during that time cancels it.
6.2 After 30 days it is approved. If a refund or dispute happens later, the amount is subtracted from your future commissions. You never have to pay money back, except under §6.3.
6.3 Commission on a fraudulent or fake purchase is void, even if it has already been paid, and Syniria may recover it from you. Examples include stolen payment cards, invented customers, and your own purchases disguised as a customer's.
7. Your responsibilities
7.1 You are an independent contractor. You choose your own methods, hours and tools, and you pay your own costs. You may promote other products too. You are not Syniria's employee, agent or partner, and you have no Syniria job title.
7.2 Your promotion is your responsibility. You alone are responsible for what you publish and send. You must obey every law that applies to you and your promotion, including laws on:
- advertising and disclosing that you are paid;
- licences for paid promotion, such as Saudi Arabia's Mawthooq licence;
- consumer protection;
- unsolicited messages;
- data protection;
- tax;
- referral or recruitment payments in your country.
7.3 You cannot act for Syniria. You may not sign contracts, offer discounts other than your code, promise refunds, or make commitments on Syniria's behalf. Syniria is not bound by anything you promise.
7.4 You cover claims caused by you. If someone brings a claim, fine or cost against Syniria because of your promotion or because you broke this agreement, you will cover it, including reasonable legal costs.
7.5 Syniria's name. Syniria owns its name, logo and content. You may use them to promote Syniria while this agreement lasts. You may not register them, or anything confusingly similar, as a trademark, company name, domain name or social media account name. When this agreement ends, you must stop presenting yourself as connected to Syniria.
7.6 Customer information. Syniria shows you limited information about the customers credited to you. Keep it confidential, and use it only to follow your own earnings.
8. Payouts
8.1 Syniria pays once a month, around the 15th, when your approved balance is USD 50 or more. A smaller balance carries forward and never expires.
8.2 Syniria pays only when all of these are true:
- you have signed this agreement;
- you have given the tax form required by §9;
- your payout details have been verified;
- your name passes the sanctions checks that US law requires of Syniria.
Your commissions keep building up in the meantime.
8.3 You choose how you are paid: Wise, USDT (on TRON or Aptos), a US bank account, or an international bank transfer.
8.4 All transfer, network, currency-conversion and receiving fees are deducted from the amount sent. Currency is converted at the payment provider's rate on the day of payment. Your statement shows the amount paid, the fees and the net amount sent.
8.5 Payouts go only to an account or wallet in your own name or your company's name. Syniria confirms new or changed payout details with you by call or WhatsApp before using them.
8.6 Syniria is not responsible for money lost because the details you gave were wrong. That includes a wrong crypto address or network: USDT sent on the wrong network cannot be recovered.
8.7 Your statements are in your affiliate portal. If you believe a statement is wrong, tell Syniria within 60 days of its date. After that it is final, except in cases of fraud.
9. Taxes
9.1 Commissions and bonuses include all taxes that you owe or must charge, such as VAT. Syniria adds nothing on top. You are responsible for your own taxes.
9.2 Before your first payout you must give Syniria the correct US tax form, and a new one when it expires or your situation changes:
- W-8BEN if you are an individual who is not a US person;
- W-8BEN-E if you are a company that is not a US company;
- W-9 if you are a US person.
Syniria may hold payouts until it has the form.
9.3 You confirm that you do your affiliate work outside the United States, unless you have told Syniria otherwise in writing.
10. Your personal information
Syniria handles your personal information as described in the Syniria Affiliate Privacy Notice, which you receive with this agreement.
11. Ending this agreement
11.1 You or Syniria may end this agreement at any time by telling the other by email or WhatsApp.
11.2 If Syniria ends it without cause, you keep earning commission (and bonus) on your existing customers until each customer's first anniversary under §4.2.
11.3 If you end it, or Syniria ends it for cause, you earn only on invoices paid before the end date. "Cause" means:
- fraud;
- false information in your application;
- a match on a sanctions list;
- failing to provide the tax form within 90 days of Syniria asking.
11.4 After the agreement ends, your codes and invite link stop working. Syniria pays your remaining approved balance once the last 30-day waiting period has passed, even if it is under USD 50, with fees deducted under §8.4.
12. Changes to the program
12.1 Syniria may change the program or this agreement by giving you 30 days' notice by email or in your portal.
12.2 A change never reduces commission on invoices paid before it takes effect.
12.3 If you continue after the change takes effect, you accept it. If you do not accept it, you may end this agreement under §11.1.
13. Liability
13.1 Syniria's total liability to you under this agreement is limited to the commissions and bonuses it owes you.
13.2 Neither party is liable to the other for indirect losses, such as lost profits or lost opportunities.
14. General
14.1 This agreement is governed by the laws of the State of Wyoming, USA. If a dispute arises, both sides will first try in good faith to settle it within 30 days; after that, it goes to the state or federal courts located in Wyoming.
14.2 This agreement is written in English, and the English text is the binding version. Any translation is for convenience only.
14.3 By ticking "I agree" and typing your full name in the application, you sign this agreement electronically, which is as valid as a handwritten signature. Syniria keeps a record of the version you signed and when.
14.4 You may not transfer this agreement to someone else without Syniria's written consent. Syniria may transfer it to a company that takes over its business.
14.5 If a court finds part of this agreement unenforceable, the rest remains in effect.
14.6 This agreement, together with the privacy notice, is the whole agreement between you and Syniria about the affiliate program. It replaces anything agreed before, except for commissions already earned under earlier arrangements, which Syniria will honour.
